LLC Formation Costs in Every State
Starting an LLC can be pricey, but it doesn't have to be.
We'll walk you through the costs for forming an LLC in each state and share tips on how to save money.
🔔 Important:
While some states have lower LLC fees, choosing a state just because it's cheaper might not always be the best move. It could cost you more in the long run.
You might also end up needing to register two LLCs if you operate in a state different from where you initially registered—one as a Domestic LLC and one as a Foreign LLC.
Initial LLC Filing Fee
Every state requires a one-time filing fee when you submit your LLC formation paperwork. This is the cost to officially register your LLC.
The names for the required paperwork can vary by state and might include:
- Articles of Organization
- Certificate of Organization
- Certificate of Formation
Ongoing Costs
After setting up your LLC, you’ll need to pay recurring fees to keep it active. These are often called:
- Annual Fee
- Annual Report
- Biennial Report
- Annual Franchise Tax

Most states refer to these recurring fees as the Annual Report or Biennial Report.
If you file your LLC Annual Report late, you'll usually face a late fee. If you don’t file it at all, many states may even dissolve your LLC.
